Abstract
In the constitution of a sports company in the form of spin-off the club, the law determines that the transfer of both the rights and duties of the founding club do not depend from the consent of the counterparty, the sports company being responsible before the club's creditors for the reduction of the patrimonial guarantee resulting from the transfer of the club's contractual position in any contracts. In this paper, we analyse the meaning and the range of these norms, especially as regards the function of the responsibility resulting therefrom for the sports company.
