This study, while considering the relevance of the shareholders meeting and defining its framework, characterizes the ruling of this body, by a sub-body (the shareholders meeting board), which is led by the chairman. After establishing the organic framework, the analysis focuses on the chairman of the meeting (limited liability companies / sociedade por quotas) and the chairman of the general meeting (public or private company limited by shares / sociedade anónima), from the chairman nomination, in the context of the chairman’s exclusive competence and representation of the board; continuing through status, performance, (civil and criminal) liability, replacement and termination of service; to the consideration of incompatibilities caused by the function; and concluding with the table and the chair of the legally convened general meeting.
