A coordenação do efeito do registo da fusão de sociedades com outras regras sobre a transmissão de direitos

Abstract

Merger is an institute that falls within the group of cases of corporate reorganizations, the effects of which entail a set of consequences that have repercussions on relations with third parties. Therefore, there is an urgent need to coordinate those with the interests third parties hold in relation to the entities involved in the transaction, as it is concluded that they must outweigh the legal norm which established those effects or not. This will lead to situations in which, on one hand, third parties will be unprotected, being subject to the legal regime envisaged or, on the other hand, deserve to see their position protected.
