Abstract

The corporate groups are one of the possible forms of corporate coalition. Within de directive power that a head society detains over a Subordinated Society, which is one of the main characteristics of the corporate groups, the Portuguese legislator has set in article 501.º of the Portuguese Companies Code (PCC), a special regime of responsibility for the Director´s Society over the creditors of the Subordinated Society. This special regime is applicable to all corporate groups which are constituted by subordination contract and also, by reference to the article 491.º of PCC, to the societies in full control relationship. We owe this regime to the fact that the credits guaranties suffer a decreased when the debtor society integrates a group of societies. Therefore, we intend to understand the reason behind this responsibility regime for debts of the Subordinated Society, their nature, features and practical application.
