Abstract
The Sports Companies Legal Regime emerges immersed in doubts, questions and ambiguities. Therefore, problems arise in its practical implementation, specifically concerning the guidelines imposed on sports administration. In the present dissertation, we analyze, specifically, the application of the Business Judgment Rule in the context of the aforementioned Companies, in order to stimulate a critical reflection on its suitability for the sports universe. Thus, we begin, after a brief overview of the importance of Sports and the normative evolution of its Legal Regime, an examination regarding the purpose and nature of Sports Companies, related questions that will allow to unravel the subsequent discussion. In the next chapter we carry out a study on the duties imposed on directors of Sports Companies, as well as the existing liability mechanisms in case of non-compliance. Finally, following a theoretical exposition of the reasons underlying the outbreak of the Business Judgment Rule, the present research seeks to elaborate and fulfill the requirements for the application of the aforementioned mechanism considering recurring decisions in sports management. The primary objective of this study is to provide readers with a clearer perception of the applicability of the Business Judgment Rule in Sports Companies and stimulate the debate regarding the suitability of the rule for sports administration.| Date of Award | 18 Jul 2025 |
