Abstract
Shareholder’s agreements are today an increasingly important trend on a global scale, allowing shareholders to customize the relationships between them and, at the same time, complement the articles of association. This dissertation focuses on what may be considered as the biggest weakness of shareholders’ agreements: their breach. The aim is to identify and analyse the mechanisms that may dissuade shareholders from breaching shareholders’ agreements and, at the same time, analyse the possible ways of reaction, always bearing in mind that the court will certainly be the final option to react to their violation.| Date of Award | 18 Jul 2025 |
