Abstract

The tender offer and merger procedures are two of the most used operations for economic concentration of corporate entities. Although the usage of one or another are usually connected to the interested party’s intention, doubts remain about whether it is admissible the submission of a merger project while a tender offer is still in course. We intend to analyze the legal admissibility of the concurrence between a takeover and a merger.
