This dissertation addresses the non-compete obligation in the context of company acquisitions, either by the will of the parties or imposed through certain values present in Portugal’s legal system. Thus, the paper mainly focuses on analysing the principles of our legal system that justify the existence of this obligation, the possibility of its stipulation and its existence through implicit form. Subsequently, its content and extension are also analysed along with the consequences regarding the seller’s non-compliance.
