Abstract

The present study consists of the analysis of certain problems and disputes that we cancome across during a contract for the sale and purchase of shareholdings as a form of transmission of an entreprise, especially information problems in carrying out a Due Diligence and problems inherent to the regime of articles 905.º and 913.º of the CivilCode (i.e., under the terms of the regimes for the purchase and sale of burdened and defective goods).
