Abstract

The aim of the present study is, firstly, to verify the existence of problems related to interpersonal relationships based business groups, especially, and considering the characteristics of these type of groups and the un-existence of a especial legal regulation, in what regards the creditors protection. Secondly, and after a brief analysis of the portuguese legal system, it is one’s purpose to find and discuss solutions, prevention solutions (ex ante), but mostly solutions that allow shareholders to be held responsible for their harmful actions.
