The emergence of the financing lender in the context of corporate management requires the measurement of all the consequences that could arise to the company, to the shareholders and other stakeholders. This essay focuses on the inclusion of covenants in loan agreements and has the purpose of analysing the limits on the lender’s influence on corporate governance, as well as wether they could be liable for their opportunistic behavior.
