Abstract
This dissertation is based on the study of the derogation from the duty to launch a takeover bid in the event of a merger of companies. Thus, we begin by analyzing the takeover bid and then proceed to analyze the merger. Finally, we set out to analyze and reflect on the appropriateness and admissibility of the derogation from the duty to launch a takeover bid in the event of a merger of companies, trying to understand whether, with this derogation, the interests of minority shareholders are protected or whether, in fact, this was not even the legislator's aim in establishing such a derogation.| Date of Award | 17 May 2025 |
