This study aims to stablish a solid justification for the acceptance of a directors’ duty to act lawfully under Portuguese corporate law. At first glance considered as obvious, the duty to act lawfully challenged United States and German doctrine to figure out a place where to fit it, since duty to act lawfully appears to contradict the directors’ fiduciary duties paradigm, deeply rooted in profit maximization dogma. Having realized how duty to act lawfully has been formulated and grounded in these legal systems, we present in this study our attempt to justify why directors have the obligation to guarantee that the company comply with the it’s legal obligations.
