Abstract

The study focuses on the analysis of the duty of loyalty, more specifically, when the administrator takes advantage of corporate business opportunities for himself or herself, and the legal consequences that arise from this conduct, considering the rules in force in the Portuguese legal system. To this end, we take a brief comparative approach to American, English, Spanish, and Brazilian law.
