The proposed master’s dissertation focuses on the duty of not taking advantage of corporate business opportunities by the administrators and managers of commercial companies. This duty constitutes a derivation of the duty of loyalty set out in the article 64.º of the CSC, to which administrators and managers of the commercial company are attached. Therefore, we attempted to understand how could the application of this duty can be proceeded in a more coherent way, as for that purpose it would be necessary to create an abstract filling of the indetermined concept, which is the concept of “corporate opportunity”, since only the opportunities for business that are considered to belong to the company are prohibited to the administrators and managers of the company. Finally, we intend to understand how can the administrators and managers who have failed in the scope of this duty be sanctioned and based on what grounds.
