Abstract

This master thesis is about the analysis of the new European Prospectus Regulation.From this analysis, we identified the new legal figures and the most important changes brought about by the new prospectus regulation. Through the identification of these changes, we were able to observe the impact they will have on our code of securities and we were also able to understand how these changes may influence the Portuguese legal regime of civil liability as far as the content of the prospectus is concerned.The civil liability analysis of the prospectus’ content will only take into account the perspective of application to public subscription offers.
