Abstract

The administrators have decision-making powers whilst performing their duties. This decision-making practice is followed by aftereffect intrinsic in the execution management function that sometimes can be a generator of damage. Civil responsibility is directly bound to the compensation of the damage caused and to the existent links between the perpetrator and the victim. To ensure the compensation of the foreseeable damage, combined with insufficient of capital, the D&O insurance was created. Besides covering the costs of compensation claims, the D&O offers insurance coverage not only for the directors and officers but also for the organization as a whole, especially as regards the costs of harm done to the company’s image, reimbursement of expenses incurred by the company, legal costs, etc.
