Abstract

The Board of Directors can be seen from different perspectives, especially when itcomes to Corporate Governance. Thus, the American, British, and Brazilian legislations present differences and similarities that are worth highlighting. The main topics to be analyzed will be the takeover defenses; the structure and composition of the Boards of Directors, the independent directors, and Related-Party Transactions; remuneration of the members of the Board of Directors. To exemplify the topics, three companies were chosen, being the Coca-Cola Company, Diageo plc, and Natura&Co.
