Vinculação societária por actos de administradores e gerentes

Abstract

This study investigates both Private Limited Companies with corporate commitment granted on the basis of Articles n.ºs 260.º and 261.º of CSC, and Joint- stock Companies founded on Articles n.ºs 408.º and 409.º of CSC. Initially, a brief analysis about the representation of the two types of companies previously mentioned is done. Subsequently, the dissertation focus is the corporate commitment under the scope of European and Comparative law. Therefore, we examine the corporate commitment present in our legal system and we present different positions for the doctrine in terms of its assumptions. The corporate commitment by Private Limited Companies and Joint-stock Companies is too controversial in our doctrine and jurisprudence. With this thesis I hope to help by finding a solution for the present question.
